- VAVictoria AtleeNov 1, 20251.0As a preexisting member of SSFCU, I wanted to further my relationship with them by opening a business account. I spoke with a woman named Pearl. I brought all necessary documentation with me, including my certificate of formation, as well as certified amendment documentation for any changes made to the LLC. Pearl informed me, that she could not help me until I had a new certificate of formation that included all changes, and turned me away. The Texas Secretary of State does NOT issue new certificates of formation; they only supply amendment documentation to provide records of changes made to the original formation (the same documents I had with me at the time of our meeting). Here’s the issue; the person you have working with clients to open business accounts does not even know what documents are required as well as what is provided by the state; hence asking me for documents that are unobtainable and not legally required. Either that, or she did not want to help me. Regardless, I advise educating employees on Texas Laws and Regulations regarding business formation and documentation requirements before allowing them to advise and service the public. I’m sure many people amend their business entity structure and bylaws; and requiring each of these individuals to obtain a document that doesn’t exist, sounds like the potential for unnecessarily lost customers.
